Terms of Service
These Terms of Service (“Terms”) are an agreement between you and Lisnin Music Inc. (“Lisnin”, “we”, “us”), a federal corporation under the laws of Canada. They cover the website at www.lisnin.io and the Lisnin platform, including the beta. By using them you agree to these Terms and our Privacy Policy. If you do not agree, do not use them.
1. Eligibility and minimum age
You must be at least 16 years old, and old enough in your country to form a binding contract, to use the website or the platform. If you use Lisnin for a band, label or company, you confirm you may bind it to these Terms. The Listening Party Discord bot has its own terms and age rule: see the Listening Party Terms of Service.
2. Accounts
Parts of the platform need an account. Give us accurate information, keep your sign-in details secure, and tell us promptly at hello@lisnin.io if you think someone else has used your account. You are responsible for what happens under your account. One account is for one artist, band or entity unless we agree otherwise in writing.
The website itself (browsing, joining the waitlist, contacting us) needs no account.
3. Beta software
Lisnin is in beta. Features may change, be removed or not work as expected; there may be bugs, downtime and data loss. Beta access is provided “as is”, and you should keep your own copies of your music, artwork and metadata. We may change or end the beta at any time. Your feedback helps us improve and you let us use it without obligation to you.
Joining the waitlist does not guarantee access or a launch date.
4. Your music and content
Artists always own their music. You keep all ownership of the music, artwork, lyrics, metadata and other content you upload or submit (“Your Content”). These Terms do not transfer any rights in it to Lisnin.
To run the service for you, you give Lisnin a non-exclusive, worldwide, royalty-free licence to host, copy, process, format and deliver Your Content, and to send it to the stores, platforms, publishers, curators and other recipients you ask us to send it to, only for as long as needed to provide the service. Any additional rights (for example, publishing administration) will be set out in a separate agreement you choose to accept.
You promise that you own or have the rights to Your Content (including samples and any co-writers' or other owners' permissions), that it does not infringe anyone's rights, and that you will answer any claims about it. Lisnin may remove content that is the subject of a credible rights complaint.
5. Acceptable use
You agree not to:
- break any law, or infringe anyone's intellectual property, privacy or other rights;
- upload content that is unlawful, hateful, harassing, or sexually explicit involving minors, or that you do not have the right to share;
- use fake streams, bots, purchased plays or other fraud to manipulate any platform, chart, playlist or points system;
- attempt to disrupt, overload, scrape, reverse engineer or gain unauthorized access to the site, the platform or our systems;
- resell or provide the platform to others without our written permission, or pretend to be someone else.
We may remove content or suspend access if we reasonably believe these rules were broken.
6. Payments, renewals and refunds
Prices are shown before you pay, in the currency shown (USD for Founding Membership), and may exclude taxes, which we add where required. Payments are processed by Stripe; Lisnin does not store your full card details.
Founding Members are covered by the separate Founding Member terms, which set out the rate, when your year starts and the refund window. If those terms and these Terms differ on a point about your Founding Membership, the Founding Member terms win.
Other paid plans. Subscriptions renew automatically for the same period until cancelled; you can cancel before the renewal date from your account or by emailing hello@lisnin.io, and you keep access until the end of the period you paid for. Unless the law or a plan's own terms say otherwise, fees already paid are not refunded. [Matt to confirm: renewal and refund rules for non-Founding plans before they go on sale]
7. Third-party services
Lisnin works with services we do not control, such as Discord, Spotify, music stores and payment processors. They have their own terms, and we are not responsible for them or for what they do with your content, though we will tell you if we learn of a problem that affects you.
8. Lisnin's intellectual property
The Lisnin name, logo, website, software and other materials (not including Your Content) belong to Lisnin or its licensors and are protected by law. We give you a limited, revocable, non-exclusive, non-transferable right to use the platform as these Terms allow. Everything else is reserved.
9. Disclaimers
To the maximum extent the law allows, the website and platform are provided “as is” and “as available”, without warranties of any kind, including fitness for a particular purpose, uninterrupted service, or results such as streams, royalties, placements, playlist adds or revenue. Nothing here limits rights you have under consumer protection law that cannot be excluded.
10. Limitation of liability
To the maximum extent the law allows, Lisnin and its directors, officers and employees are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the website or platform is limited to the greater of the amount you paid Lisnin in the 12 months before the claim and CAD $100. Nothing excludes liability that cannot lawfully be excluded.
11. Termination
You can stop using Lisnin and close your account at any time by emailing hello@lisnin.io. We may suspend or end your access if you breach these Terms or put others or the service at risk, and we will give notice where we reasonably can. Provisions that by their nature should survive, such as ownership, disclaimers, liability and governing law, continue after termination. On termination we will make Your Content available for export for a reasonable period [Matt to confirm: export period] and then delete it as our Privacy Policy describes.
12. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts of Ontario have exclusive jurisdiction, except that you may bring a claim in your home courts where mandatory consumer law gives you that right. Please contact us first at hello@lisnin.io so we can try to resolve any problem informally.
13. Changes to these Terms
We may update these Terms. We will change the “Last updated” date and, for material changes, give notice by email or on the site. Using Lisnin after a change takes effect means you accept it. See also our Cookie Policy.
